1. Platform Nature & Regulatory Disclaimers

Adsprecinct (operated by Asmi Enterprises) is an online outdoor advertising marketplace platform connecting Space Owners, Advertisers, and Media Agencies across India.

2. User Responsibility for Licenses, NOCs & Approvals

All users (Space Owners, Advertisers, and Agencies) are solely and independently responsible for obtaining, verifying, and maintaining all applicable:

• Municipal and local authority permissions, licenses, and advertisement tax/fee clearances;
• No Objection Certificates (NOCs) from property owners, housing societies, or local bodies;
• Land-use, zoning, structural safety, and electrical approvals where applicable;
• Statutory clearances under local, state, and central advertising laws and regulations.

3. Marketplace Listing Disclaimer

The inclusion or publication of any advertising space on Adsprecinct does NOT constitute an endorsement, representation, or warranty by Adsprecinct that the space has received government, municipal, legal, structural, land-use, or regulatory approval. Users must perform their own independent due diligence prior to executing campaign agreements.

4. User Roles & Account Obligations

Adsprecinct supports four distinct account roles:

• Space Owner (OWNER): Must possess legal ownership, leasehold authority, or explicit rights to list outdoor advertising properties and comply with applicable municipal bylaws.
• Advertiser (ADVERTISER): Responsible for ensuring that proposed creative content complies with ASCI codes, local laws, and trademark/copyright protections.
• Agency (AGENCY): Media buying agencies representing third-party clients, responsible for client campaign authorization and bulk credit package compliance.
• Administrator (ADMIN): Authorized platform operators managing moderation, transaction oversight, and compliance enforcement.

Account Accuracy & Identity Terms: Users must provide accurate, current, and truthful account details, including their full legal name or authorized representative name. Users are strictly prohibited from impersonating any individual or entity. Submitting false or misleading identity information may result in immediate account restriction, suspension, or termination. Registering an account or entering a name on Adsprecinct does NOT itself constitute verified identity proof or statutory authorization; formal identity or authority verification documents may be requested by platform administrators where applicable.

5. Content Accuracy, Claims & Intellectual Property

Users are solely responsible for the legality, accuracy, and truthfulness of all listing details, advertisement artwork, claims, images, copy, trademarks, and media uploaded to the platform. Users warrant that their uploaded content does not infringe upon any third-party copyright, trademark, privacy, or proprietary rights.

6. Onboarding & Registration Joining Fees

To ensure platform quality and prevent spam registrations, non-admin accounts pay a one-time non-recurring joining fee upon registration:

• Space Owner Joining Fee: ₹49 (one-time, total payable amount).
• Advertiser Joining Fee: ₹99 (one-time, total payable amount).
• Agency Joining Fee: ₹99 (one-time, total payable amount).

Joining fees cover account verification and portal activation. They are non-refundable once account access is granted, except in cases of verified technical double-charging.

7. Owner Listing Allowance & Additional Listing Fees

Upon completing the ₹49 Space Owner joining fee, Space Owners receive 5 free space listings. For the 6th and every subsequent listing created by an Owner, an additional listing fee of ₹50 per listing (total payable amount) is required prior to listing publication.

8. Credit Packages & Contact Unlock Policy

Advertisers and Agencies purchase credit packages to unlock exact contact and location details of listed advertising spaces:

• Starter Package (₹999): 5 unlock credits for discovering and contacting space owners .
• Agency Package (₹4,999): 30 unlock credits plus priority requirement routing .

Credits are deducted upon unlocking exact listing coordinates/contacts and represent non-monetary platform discovery permissions. Unlocked contact details must be used strictly for genuine advertising negotiations.

9. Campaign Deals & Platform Commission

When an Owner accepts an Advertiser's campaign offer, a Campaign Deal is initiated. Upon successful payment by the Advertiser via our Razorpay, the integrated payment service,, a 7% platform commission (700 basis points; configurable in the 5%–10% range) is recorded on the transaction value.

10. Marketplace Limitations & No Guarantee of Completion

Adsprecinct operates solely as a discovery and campaign enablement platform. Adsprecinct does not guarantee:

• Continuous availability or occupancy of any physical advertising space;
• Specific campaign impressions, footfall, or advertising return on investment (ROI);
• Performance or solvency of any Advertiser, Agency, or Space Owner;
• Successful execution or completion of every initiated deal.

11. Platform Rights: Account & Listing Restriction

Adsprecinct reserves the right to restrict, suspend, remove, or terminate any listing or user account immediately without prior notice in cases involving:

• Suspected unlawful activity or unauthorized property listing claims;
• Regulatory, municipal, or law enforcement notices requiring action;
• Fraud, impersonation, or fee circumvention attempt;
• Misleading, prohibited, defamatory, or infringing content;
• Violation of these Terms & Conditions or platform policies.

12. Limitation of Liability & Indemnification

To the fullest extent permitted by Indian law, Adsprecinct and Asmi Enterprises shall not be liable for any indirect, incidental, special, or consequential damages resulting from physical site disputes, municipal hoarding removals, structural failures, or ad content violations. Users agree to indemnify and hold harmless Adsprecinct, its operators, and officers against any third-party claims, municipal penalties, or legal costs arising from their breach of statutory obligations or listing misrepresentations.

13. Payments, Refunds & Cancellations

All prices displayed on Adsprecinct are in Indian Rupees (INR) and represent total payable amounts. Joining fees, listing fees, and credit packages are non-refundable once activated or used. If a payment fails on the aggregator end while funds were debited, or if a technical double-charge occurs, users may submit a support request for manual verification and refund resolution.

14. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India. Any legal disputes or proceedings arising out of or in connection with the platform shall be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.

15. Amendments to Terms

Adsprecinct reserves the right to update or modify these Terms & Conditions at any time. Continued use of the platform following any published updates constitutes acceptance of the revised Terms.
